TERMS & CONDITIONS
OF SALE AND LICENCE AGREEMENT

These Terms & Conditions (“this Agreement”) apply to all sales made by:

We are not VAT registered. All prices are shown in GBP (ÂŁ). No VAT is charged.
In this Agreement, “we”, “us”, and “our” refer to Syntaxis Technologies. “You” and “your” refer to the customer.
1. Definitions
“Software” means the Radio Depot application and any associated files, updates, or documentation supplied by us. “Licence Key” means the unique activation code issued upon purchase. “Hardware ID” means a fingerprint derived from your computer’s hardware components used to bind a licence. “Dongle” means the physical USB device used to activate and run the dongle edition. “Support Plan” means an optional annual subscription entitling you to priority support and software updates.
2. Orders & Contract Formation
Orders placed via our website or by purchase order constitute an offer to purchase. A contract is formed only when we accept the order and issue confirmation. Purchase orders from business customers are accepted for administrative purposes only. These Terms apply to the exclusion of any other terms the customer may seek to impose.
3. Pricing & Payment
All prices are in GBP and are inclusive of all charges (no VAT applies). Payment is due at the time of purchase unless otherwise agreed in writing. We reserve the right to withhold licence delivery until payment has cleared. If a chargeback or payment dispute is initiated after licence delivery, the licence may be suspended immediately and without notice pending resolution.
4. Digital Content & Right to Cancel (Consumers)
Our Software is supplied as digital content. By ticking the required checkbox at checkout, you:
(a) expressly request that supply of the digital content begins immediately; and
(b) acknowledge that once the Licence Key has been issued, you lose your right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
This does not affect your statutory rights if the Software is faulty or not as described.
5. Trial Licence
We offer a free 30-day trial with full functionality. The trial requires no payment details. At the end of the trial period, the Software will cease to function until a paid licence is activated. We are under no obligation to extend or renew trial periods.
6. Hardware-Locked Licence
Licences may be bound to a single device using a Hardware ID derived from CPU, motherboard/BIOS, and network interface (MAC address). Hardware changes — including component replacement, motherboard swap, or significant system reconfiguration — may invalidate the activation. Reactivation following hardware changes is granted at our reasonable discretion and may be subject to verification. Loss of activation due to hardware modification does not constitute a defect or entitle the customer to a refund.
7. Dongle Licence
The dongle edition requires the physical USB Dongle to operate. The Dongle is shipped to you and remains your responsibility upon delivery. Lost, stolen, or damaged Dongles are not replaced free of charge; a replacement must be purchased at the current retail price. Consumer cancellation rights apply to physical goods within 14 days of delivery, provided the Dongle is returned unused and in its original condition.
8. Yearly Licence & Auto-Renewal
Yearly licences are sold on an annual subscription basis and will automatically renew at the then-current price unless cancelled before the renewal date. You will receive a reminder at least 14 days before renewal. If payment fails on renewal, your licence will be suspended until payment is made. You may cancel auto-renewal at any time through the licence portal or by contacting us.
9. Support Plans
An optional annual Support Plan may be purchased separately or alongside your licence. The Support Plan entitles you to priority email support and access to all software updates for the duration of the plan. Support Plans renew annually and may be cancelled at any time. Without an active Support Plan, support is provided on a reasonable-endeavours basis and access to new software versions may be restricted.
10. Software Quality & Updates
The Software will substantially match its published description and be fit for the purpose of radio fleet management. Where a material defect affects core functionality, we will provide a repair, patch, or update within a reasonable timeframe. Minor bugs or cosmetic issues do not constitute grounds for a refund where the Software remains substantially functional. The Software may update automatically when connected to the internet.
11. Intellectual Property
All intellectual property rights in the Software — including source code, design, user interface, documentation, and trademarks — are and remain the exclusive property of Syntaxis Technologies. Your licence grants a non-exclusive, non-transferable right to use the Software in accordance with this Agreement. No ownership of any intellectual property is transferred to you.
12. Licence Restrictions
You may not: (a) sub-license, sell, resell, rent, lease, or distribute the Software or Licence Key; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code; (c) circumvent, disable, or interfere with any licence protection, activation mechanism, or copy protection; (d) share Licence Keys with any third party; or (e) use the Software for any unlawful purpose. Violation of these restrictions may result in immediate licence termination without refund.
13. Refund Policy
Due to the nature of digital content, refunds are not generally available once a Licence Key has been issued. Refunds may be considered at our discretion in the following circumstances: (a) a material defect that we are unable to resolve within a reasonable time; or (b) the Software was significantly not as described. Refund requests must be submitted within 30 days of purchase to info@syntaxis.co.uk.
14. Data & Backups
The Software stores data locally on your device. You are solely responsible for maintaining adequate backups of your data. We are not liable for any data loss arising from hardware failure, software updates, accidental deletion, or any other cause.
15. Limitation of Liability
To the fullest extent permitted by law: (a) our total aggregate liability under or in connection with this Agreement shall not exceed the amount you paid for the licence in the 12 months preceding the claim; (b) we shall not be liable for any indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or business opportunity; and (c) nothing in this Agreement limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
16. Force Majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to: acts of God, government action, pandemic, internet or power outage, or third-party service failure.
17. Amendments
We reserve the right to update these Terms from time to time. Changes will be published on our website with an updated effective date. Continued use of the Software after changes are posted constitutes acceptance. Material changes affecting existing licence holders will be communicated by email where possible.
18. Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
This Agreement constitutes the entire agreement between you and Syntaxis Technologies with respect to the Software and supersedes all prior agreements, representations, and understandings.
20. Governing Law & Jurisdiction
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
